General Sales & Manufacturing Terms

Draft dated November 3, 2026 · Commercial terms must be reviewed and approved before use.

Quotations and acceptance

All quotations are subject to review of final drawings, specifications, quantities, material availability, and production capacity. No order is accepted until ADF confirms it in writing. Quotations are valid only for the period stated on the quotation.

Drawings and approvals

Shop drawings and customer approval are required before production unless otherwise agreed in writing. The customer is responsible for confirming dimensions, finishes, materials, quantities, and intended use. Changes after approval may affect price and schedule.

Payments

Unless a signed quotation states otherwise, the proposed payment schedule is 50% deposit upon order acceptance, 25% upon frame completion, and 25% before release or pickup. Orders exceeding $10,000 may require additional progress payments specified in the quotation. Deposits become nonrefundable to the extent committed to approved drawings, purchased materials, or work performed, subject to applicable law and written agreement.

Lead times and changes

Production lead times are estimates beginning only after required deposits, approved drawings, and necessary materials are received. Material shortages, customer changes, and events beyond reasonable control may affect timing. Expedited work requires separate written approval.

Delivery, inspection and storage

Unless the quotation states otherwise, delivery terms are FOB Houston, Texas, with title and risk allocation governed by the signed agreement and applicable law. The customer should inspect goods promptly and report visible shipping damage or shortages. Two weeks of complimentary storage may be offered after notice of readiness; thereafter storage may be billed at $175 per month per 50 square feet, prorated or otherwise calculated as specified in the signed quotation.

Customer-supplied materials

The customer is responsible for timely delivery, quantity, suitability, and quality of COM and other customer-supplied materials. ADF does not warrant COM or finishes. Additional labor or replacement costs caused by defective or unsuitable supplied materials require customer approval.

Warranty and claims

The applicable limited warranty is described on the Warranty page, subject to the signed quotation or sales agreement. Any nonconforming goods should be reported promptly with photographs and order details.

Priority of documents

These terms are informational website terms for prospective customers. The signed quotation, purchase order acceptance, and any negotiated manufacturing agreement govern the transaction and supersede conflicting website descriptions.
